2023 Social Media Dynamic Content Schedule

You will receive a copy of the licensing agreement by email.

This agreement is entered into by Licensee, with an address of [Your Business Address] hereafter known as licensee , and Ideal WorkplaceLLC, hereafter known as Company with an address of 866 Kempton Street, New Bedford MA.
Purpose. The purpose of this agreement is to define the terms and conditions under which Licensee shall have access to and use of the content and images provided by Company.
Scope of Use. Licensee shall only use the content and images for their personal and internal business use and shall not resell, distribute, or otherwise provide the content and images to any third parties.
Proprietary Rights. Company retains all proprietary rights, including all intellectual property rights, in and to the content and images provided to Licensee. Licensee acknowledges and agrees that it shall not acquire any ownership rights in the content and images.
Confidentiality. Licensee shall maintain the confidentiality of the content and images and shall not disclose any portion of the content and images to any third party.
Termination. Either party may terminate this agreement at any time upon written notice to the other party. Upon termination, Licensee shall immediately discontinue all use of the content and images and shall destroy or return all copies of the content and images in its possession or control.
Indemnification. Licensee shall indemnify, defend, and hold harmless Company against any and all claims, damages, losses, and expenses arising from or in connection with Licensee's use of the content and images.
Dispute Resolution. Any dispute arising out of or related to this agreement shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.
Governing Law. This agreement shall be governed by and construed in accordance with the laws of the Massachusetts.
Entire Agreement. This agreement constitutes the entire agreement between the parties and supersedes all prior negotiations, understandings, and agreements, whether written or oral, relating to the subject matter of this agreement.
